USER CONTENT LICENSE AGREEMENT. This User Content License Agreement (the “Agreement”) governs any consumer (hereafter “User(s),” “you” or “your”) who uploads, posts, or otherwise provides to Alert 360 (“Alert 360”) any photograph, image, audio or video recording, written comment, testimonial, or other media (collectively, “User Content”) through this website. By checking the box below, you accept the terms of this Agreement and hereby grant Alert 360 a non-exclusive, royalty-free, perpetual, and irrevocable license (the “License”) to use, reproduce, modify, publish, distribute, publicly display, and create derivative works — including for advertising purposes — from your User Content for any lawful purpose across any media format, including but not limited to social media platforms such as YouTube, Facebook, and Instagram; digital, email, or print materials; and local or national television broadcasts.

Unless a separate written agreement with Alert 360 is executed prior to your acceptance of this Agreement, you waive any claim to payment or compensation in connection with Alert 360’s use of your User Content under this License. Where your User Content includes images, photographs, videos, audio recordings, or other depictions of individuals (their “Likenesses”), you represent and warrant that each individual depicted has consented to the submission, distribution, public display, modification, and commercial use of their Likeness as contemplated by this Agreement.

If any individual depicted or heard in your User Content is a minor, you represent and warrant that you are the minor’s parent or legal guardian, or that you have obtained express permission from the minor’s parent or legal guardian, authorizing the submission, distribution, public display, modification, and commercial use of the minor’s name, image, voice, likeness, and appearance as contemplated by this Agreement. You agree not to submit any User Content containing minors unless such express parental or legal guardian permission has been obtained.

You agree that you will not submit User Content that: (i) is defamatory, harassing, threatening, obscene, deceptive, or otherwise harmful to the rights of others; (ii) incorporates music, songs, sound recordings, audio clips, artwork, logos, trademarks, copyrighted materials, or other intellectual property owned by any third party unless you have obtained all necessary rights, licenses, permissions, and clearances for Alert 360 to use such materials as contemplated by this Agreement; (iii) includes licensed, copyrighted, or trademarked songs, music, or audio without appropriate authorization; or (iv) contains malicious code, corrupted files, or software designed to damage systems or collect personal information without consent.

You further represent and warrant that your User Content is original to you, or that you have obtained all rights and permissions necessary to submit the User Content and grant the License described in this Agreement, including any permissions related to individuals appearing or heard in the User Content and any third-party intellectual property, music, audio, trademarks, or copyrighted materials included in the User Content.

YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR ANY USER CONTENT YOU SUBMIT TO ALERT 360. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS ALERT 360, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, THE “ALERT 360 PARTIES”) FROM AND AGAINST ANY AND ALL CLAIMS, ACTIONS, LOSSES, DAMAGES, DEMANDS, COSTS, AND EXPENSES — INCLUDING REASONABLE ATTORNEYS’ FEES — ARISING OUT OF OR RELATING TO YOUR SUBMISSION OF USER CONTENT OR ANY BREACH OF THIS AGREEMENT, INCLUDING WITHOUT LIMITATION CLAIMS RELATING TO MINORS, RIGHTS OF PUBLICITY, PRIVACY RIGHTS, COPYRIGHTS, TRADEMARKS, MUSIC RIGHTS, OR OTHER INTELLECTUAL PROPERTY RIGHTS.

You further agree to release the Alert 360 Parties from any and all liability arising from claims, actions, or demands related to your User Content submitted under this Agreement, including without limitation claims for invasion of privacy, infringement of intellectual property rights, violation of music or audio rights, trademark infringement, or violation of the right of publicity. Any dispute or claim arising out of or relating to your User Content or this Agreement must be filed in the state or federal courts located in Oklahoma within one (1) year of the date the claim or cause of action arises. This Agreement shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of laws principles.
